TERMS AND CONDITIONS OF SERVICE

1. ACCEPTING THIS AGREEMENT

1.1 Agreement Formation

Please read these Terms and Conditions carefully before accepting them. By accepting this Agreement with Bold Insight Tech Solutions Limited ("BITs", "we", "us", "our"), you agree to be legally bound by all terms and conditions.

1.2 Methods of Acceptance

You accept this Agreement by:

• Clicking acceptance boxes during registration or purchase
• Executing Order Forms referencing this Agreement
• Using our Services after being notified of these terms
• Continuing to use Services after updates to these terms

1.3 Authority to Bind

You represent that you have authority to bind the organization, company, or legal entity identified in the registration process. If you lack such authority or disagree with these terms, you must not accept this Agreement and may not use our Services.

1.4 Consumer Rights

Kenyan consumers are protected under the Consumer Protection Act 2012, including protection against unfair contract terms and the right to seek redress for defective services.

2. DEFINITIONS

Affiliate: Any entity directly or indirectly controlling, controlled by, or under common control with the subject entity (control meaning 50%+ voting interests).

Archive: The repository maintained at https://www.srmhub.com containing historical procurement data.

Auction: Real-time competitive bidding procurement exercises where suppliers bid simultaneously.

Buyer: Organization coordinating procurement exercises through our platform.

Data Processing Agreement: Separate agreement governing personal data processing for enterprise clients.

Helpdesk: Support facility handling user queries via phone (+254 733312000), email (admin@srmhub.com), or postal mail during Working Hours.

Malicious Code: Viruses, worms, Trojan horses, ransomware, and other harmful software, scripts, or programs.

Order Form: Documents for service registrations including online forms, hard copy agreements, and electronic submissions incorporated by reference.

Procurement Exercise/RFx: Any procurement process including PQQ, RFI, RTT, ITN, ITPD, ITSFO, ITSFT, BAFO, RFP, RFQ, electronic auctions, or contracts.

Registration Information: Information required for service access, whether free or paid.

Services: SRM eProcurement, TenderAlert, DiversityLink, www.srmhub.com, and associated online/offline components (excluding Third Party Applications).

Supplier: Organization responding to procurement exercises to provide goods/services to Buyers.

Third Party Applications: External applications interoperating with our Services.

Users: Individuals authorized by you to use Services, including employees, consultants, contractors, agents.

Working Hours: 08:30 to 17:00 East Africa Time (EAT), Monday through Friday, excluding Kenya public holidays.

Your Data: All electronic data or information you submit to our Services.

3. SERVICE LICENCE

3.1 Licence Grant

Upon acceptance, BITs grants you a non-exclusive, non-transferable licence to use our Services for a minimum one-year term, automatically renewing unless terminated according to these terms.

3.2 Licence Scope

This licence permits you to access and use Services from your computer hardware, copy information into temporary memory, and print/copy accessed data for authorized business use only.

3.3 Export Restrictions

Service export is subject to applicable Kenyan and international laws and regulations.

3.4 Usage Restrictions

Services may only be used for legitimate business purposes by named Users. You may not:

• Transfer, sub-licence, or assign this licence
• Use Services for illegal activities
• Modify, reverse engineer, or create derivative works
• Store non-pertinent data in our
